Urodynamix Announces Annual and Special Shareholder Meeting Agenda
VANCOUVER, British Columbia, May 4, 2007 - Urodynamix Technologies Ltd. (TSX-V:URO) announced that it will hold its 2007 Annual and Special Meeting (the “Meeting”) in Vancouver, British Columbia on June 4, 2007.
The Company is pleased to announce the addition of Pierre Leduc to the proposed slate of directors. Mr. Leduc is principal of Leduc Associates Management Consultants, a firm specializing in biotechnology companies. Prior to forming his consultancy, he served as President and CEO of Neurostream Technologies Inc., a privately held medical device company developing implantable neurotechnology devices. Mr. Leduc was also Chairman of Xillix Technologies Corp., a TSX-listed medical device company engaged in the manufacture of endoscopic devices for the early detection of cancer. Earlier in his career, Mr. Leduc had a 20-year association with Baxter Corporation in many executive capacities, including President of Baxter Corporation Canada, Area Managing Director, Australia-New Zealand and Marketing Manager, Americas-Pacific, Baxter World Trade Corp., Deerfield, Illinois. Mr. Leduc currently serves on the Board of Directors of Providence Health Care and Ondine Biopharma Inc. of Vancouver, BC and Novx Systems Inc. of Markham, Ontario.

In order to appeal to certain investors that find shares trading at above certain prices more attractive from an investment perspective, the Company is proposing that its Board of Directors be given discretionary authority at the Meeting to effect a share consolidation. A share consolidation may have the effect of raising the market price of the Company’s shares but does not have an effect on the actual or intrinsic value of the business of the Company or on a shareholder’s proportional ownership in the Company.
Shareholders will be asked to vote on a special resolution at the Meeting authorizing the Board of Directors, if and when it deems appropriate, but prior to June 4, 2008, to consolidate the then outstanding common shares of the Company within a range of one new common share for two outstanding common shares and one new common share for ten outstanding common shares as it shall, in its discretion, determine. The Board would also have the discretion not to effect the share consolidation.
The share consolidation is subject to shareholder approval and to TSX Venture Exchange acceptance. No name change will occur in conjunction with the consolidation.
